TrabaHunters Terms of Use

Please read these terms and conditions carefully before entering and using this Website.

Interpretation
1. The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning, regardless of whether they appear in singular or plural.

Definitions – For the purposes of these Terms of Use:
- “Account” means a unique account created for You to access our Website or parts of our Website. “Content” refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You, regardless of the form of that content. “Device” means any device that can access the Website such as a computer, laptop, tablet, or a mobile phone. “Feedback” means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Website. “FHBO” (referred to as either “We”, “Us”, or “Our” in this Agreement) refers to Food for the Hungry, Inc. Branch Office. “Terms of Use” (also referred as “Terms”) mean these Terms of Use that form the entire agreement between You and FHBO regarding the use of the Website. “Website” refers to TrabaHunters, accessible from https://trabahunters.fhphilippines.org/.
- “You” (also referred as “User”) means the individual accessing or using the Website.

Acknowledgment
- These are the Terms of Use governing the use of this Website and the agreement that operates between You and FHBO. Your access to and use of the Website is conditioned on Your acceptance of and compliance with these Terms. These Terms (1) set out the rights and obligations of all users regarding the use of this Website and (2) apply to all visitors, users, and others who access or use the Website. You represent that:
  - if You are under the age of 18, You shall inform your legal guardian, teacher, or career guidance counselor, advocate, or mentor regarding the use of this Website; and if You are under the age of 13, You should use this Website under the direct supervision of a parent or guardian.
- Your access to and use of the Website is also conditioned on Your acceptance of and compliance with the Privacy Policy of FHBO.
  - Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use this Website.
  - Please read Our Privacy Policy carefully before using our Website.

User Accounts
- When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in the immediate termination of Your account in our Website. You are responsible for safeguarding Your personal information, including Your password, and for any activities, posts, and actions under Your account. You must immediately inform Us upon discovery of breach of security or unauthorized use of Your account.
- You must not use as a username (1) the name of another individual, (2) that is not lawfully available for use, (3) a name or trademark that is subject to any rights of another entity without proper authorization, or (4) a name that is offensive, vulgar, or obscene.

Content
- Our Website allows You to post Content. However, You shall be accountable for all the Content that You post. By posting Content to the Website, You grant us the right and license to use, modify, display, reproduce, and distribute Your Content to the public on and through the Website. Nevertheless, You retain the rights to Your Content.
- You represent and warrant that (1) the Content is Yours, (2) You have the right to use it and grant us said rights and license, and (3) the posting of Your Content on or through the Website does not violate any laws, including but not limited to privacy, publicity, copyright, and contract laws.

- FHBO is not responsible for any of Your Content. You understand and agree that You will solely be held accountable for Your Content and for all posts and activities under Your account, even if such were done by a third party or an unauthorized person. You may not post any Content that is unlawful, offensive, threatening, bullying, shaming, libelous, defamatory, or obscene. Such include, but are not limited to, the following:
  - Unlawful or promoting or encouraging unlawful activity; Derogatory or discriminatory Content or profanities, which may pertain to one’s religion, race, sexual orientation, gender, nationality, ethnic origin, economic status, or other marginalized groups; Spam or bot-generated Content; Unauthorized advertising or solicitation; Any form of lottery or gambling; Containing or installing any viruses, worms, malware, or trojan horses; Intended to disrupt, damage, or limit any software or hardware of one’s Device; Designed to corrupt or obtain unauthorized access to data of any party; Infringing on any rights of any party, including patent, trademark, trade secret, copyright, and right of publicity, among others; Impersonating another individual; Violating the privacy of any person; False information, including “fake news”; Plagiarized Content; or Content unrelated to career guidance, career pathing, skills development, or tertiary education.
  If You encounter any of those listed above, please report to philippines@fh.org or send a message on the Website.FHBO reserves the right:
  - to determine whether a Content is compliant with these Terms; to moderate Content regarding opportunities (e.g. job openings or entrepreneurship opportunities);to remove, without prior notice, Content that is not compliant with these Terms; to delete, without prior notice, Your Account and ban You from creating another Account for violating any of the Terms; to make edits of any Content;
- As FHBO cannot control all Content posted by Users, You agree:
  - to use this Website at Your own risk; that You understand that by entering this Website, you may be exposed to Content that You may find offensive, indecent, incorrect, or objectionable; and
  - that FHBO shall not be liable for any Content, including errors or omissions therein, or for any loss or damage incurred as a result of Your use of any Content on the Website.

Content Loss or Corruption of Data – FHBO does not guarantee that there will be no loss or corruption of data or Content. While FHBO will provide support and attempt to troubleshoot any known or discovered issues affecting the Website, You acknowledge that FHBO shall have no liability in relation thereto.

- Our Website may contain links to third-party websites that are not owned or controlled by FHBO. Hence, FHBO assumes no responsibility for the content, privacy policies, or practices of any third-party websites.
- You further acknowledge and agree that FHBO shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use or reliance on any such websites.

Limitation of Liability
- In no event shall FHBO, its directors, employees, agents, or representatives be liable for any special, incidental, indirect, or consequential damages (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Website or any third-party software or link used in the Website, or otherwise in connection with any provision of the Terms), even if FHBO has been advised of the possibility of such damages and even if its remedy fails.

“As Is” and “As Available” Disclaimer
1. The Website is provided to You “As Is” and “As Available” and with all faults and defects without warranty of any kind. FHBO disclaims all warranties, whether express, implied, or statutory, with respect to the Website, including all implied warranties of fitness for a particular purpose. FHBO provides no warranty or undertaking and makes no representation of any kind that the Website will (1) meet Your requirements, (2) achieve any intended results, (3) be compatible or work with any software, applications, systems, or services, (4) operate without interruption, (5) meet any performance or reliability standards, or (6) be error-free or that any errors or defects can or will be corrected.

FHBO further does not make any representation or warranty of any kind, express or implied, (1) as to the operation or availability of the Website or the information, content, materials, or products included thereon, (2) as to the accuracy, reliability, or currency of any information or content provided through the Website, or (3) that the Website, its servers, the content, or e-emails sent from or on behalf of FHBO are free of viruses, trojan horses, worms, malwares, or other harmful components.

Intellectual Property
1. The Website and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of FHBO.
1. Our intellectual property may not be used in connection with any product or service without the prior written consent of FHBO.

Your Feedback to Us
1. You assign all rights, title, and interest in any Feedback You provide FHBO.
1. If for any reason such assignment is ineffective, You agree to grant FHBO a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback without restriction.

Governing Law and Venue
1. The laws of the Philippines shall govern the Terms and Your use of the Website.
1. The parties irrevocably submit to the jurisdiction of the courts in Makati City, Metro Manila for the purpose of enforcing any right or obligation under or arising out of the Terms

Dispute Resolution
1. Any dispute, controversy, or claim arising out of or relating to the Terms or the breach, termination, or validity thereof (“Dispute”) which arises between the parties shall first be negotiated. The parties shall meet to attempt in good faith to negotiate a resolution of the Dispute prior to pursuing other available remedies, within ten (10) business days from receipt by a party of written notice of a Dispute, which date of receipt shall be referred to herein as the “Dispute Resolution Commencement Date.” Discussions and correspondence relating to trying to resolve such Dispute shall be treated as confidential information and privileged information of each of the parties developed for the purpose of settlement and shall be exempt from discovery or production and shall not be admissible in any subsequent proceeding between the parties. If the parties are unable to resolve the Dispute within ten (10) business days from the Dispute Resolution Commencement Date, then, on the request of any Party, the Dispute will be mediated pursuant to “Alternative Dispute Resolution Act of 2004”. Both parties will share the administrative costs of the mediation and the mediator’s fees and expenses equally. Each party shall bear all the other costs and expenses related to the mediation, including but not limited to attorney’s fees, witness fees, and travel expenses. The mediation shall take place online or in whatever alternative forum on which the parties may agree. If the parties cannot resolve the Dispute through mediation within ten (10) business days from its commencement, each party shall be entitled to seek relief in a court of competent jurisdiction within Makati City, Metro Manila.
1. Unless otherwise agreed in writing, the parties will continue to honor all commitments under this MOU during the course of dispute resolution with respect to all matters not subject to such dispute, controversy, or claim.

Severability
1. If any provision of the Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver
1. Except as provided herein, the failure to exercise a right or to require performance of an obligation under the Terms shall not affect FHBO’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to the Terms of Use
1. We reserve the right to revise the Terms at any time.
1. By continuing to access or use Our Website after those revisions become effective, You agree to be bound by the revised Terms.
